POLARIS POOL SYSTEMS, INC.
COPYRIGHT & TRADEMARK LICENSE AGREEMENT

POLARIS POOL SYSTEMS, INC. ("Polaris") hereby grants to your company ("Company") the non-exclusive right to copy, download, scan, reproduce, and publicly display and distribute the following materials solely in connection with advertising Polaris products for sale by Company:

Photos, drawings, images, and product information relating to the Polaris line of products which are provided to the Company by any manner, including CD rom, hard copy, or are contained on Polaris's websites (including but not limited to: www.polarispool.com, www.polarispoolsystems.com, and www.floridafalls.com).

Company agrees that it will not alter, modify, manipulate, or distort any such photos, images, drawings, or product information. Company further agrees that it will clearly identify the Company as the source of the publication, and that its display of the Polaris trade names, trademarks and copyrighted materials will clearly identify Polaris as the owner of those trade names, trademarks and copyrighted materials. Company further agrees that it will not display or distribute such information in any manner which will confuse a consumer as to the ownership of Polaris's intellectual property rights or the source of the publication.

This license may be revoked for any reason by Polaris at any time upon two (2) days written notice to Company. There is no fee for the grant of this license. Distributors understand that the consideration for the use of Polaris's photos, drawings, images, and product information is the Company's advertisement of Polaris products and continued stocking and support of Polaris products.
